1. Introduction and Acceptance
Please read carefully these terms and conditions (hereinafter, “Terms of Service”) applicable to the use of the Sproud service (hereinafter, “Service”) and related software, application features, and digital functionality (collectively, the “Services”) provided by Digital Literacy, S.L.U. (hereinafter “Digital Literacy”, “We” or “Us”) with CIF B-42783118 and domicile at Roger de Flor 193, 08013, Barcelona, Spain, registered in the Barcelona Mercantile Register.
If you as a subscriber to the Services (hereinafter “You” upon acceptance of the Terms of Service) do not agree to the Terms of Service, you must not install the App or use the Services.
You represent you have read and accept the Sproud Privacy Policy, the terms of which are an integral part of these Terms of Service.
By using the Services you agree to be bound by these Terms of Service. Failure to comply with any part of these Terms of Service may result in the termination of your account. You affirm you are fully capable and empowered, being over 18 years old, to enter into these Terms of Service.
2. Services
a. Description
Through the Services, we provide an interactive digital wellbeing experience designed to support emotional skills practice and personal reflection through guided exercises, structured activities, and AI-powered conversational interactions.
The purpose of the Services is to help Users develop healthier patterns of thinking, attention, and behavior through practice and self-reflection. The Services are designed as a self-guided support tool and do not replace professional mental health care.
The Services may include narrative, fictional, or companion-like elements, including conversational agents and characters, intended to support engagement and learning. These elements are simulated and do not represent real persons.
The Services use artificial intelligence technologies to generate responses and support the user experience. You acknowledge and agree that AI-generated content may be incomplete, inaccurate, not contextually appropriate, or not suitable for your specific situation.
You acknowledge that you must not rely exclusively on AI-generated outputs when making important personal, medical, legal, financial, or safety-related decisions.
You acknowledge that outcomes from using the Services may vary between users and that Digital Literacy does not guarantee emotional, psychological, or behavioral outcomes from use of the Services.
Digital Literacy is not a healthcare provider and the Services do not provide medical advice, diagnosis, or treatment, nor do they create a therapist-client relationship.
b. Use of Services
You agree to use Services in accordance with these Terms of Service and applicable laws, including those related to privacy, image rights, honour and reputation, telecommunications secrecy, personal data protection, labour relations, non-discrimination and disclosure of secrets, and any other regulations governing your rights.
You will not use Services in any way that may deteriorate them, or to provide services to third parties.
You represent and warrant that you are not located in a country subject to EU, EU Member State, or U.S. Government embargo, and that you are not listed on any government list of prohibited or restricted parties.
The Services may only be used for your personal use and benefit.
You are prohibited from reverse engineering, decompiling, modifying, interfering with security measures, transmitting malicious code, gaining unauthorized access to systems, or redistributing the Service.
You must not use the Services to harass, threaten, exploit, or harm others, or to submit illegal or infringing content.
You acknowledge you are solely responsible for your use of the Services and for ensuring that your use is lawful and consistent with these Terms.
Digital Literacy reserves the right to investigate potential violations of these Terms and to cooperate with law enforcement or regulatory authorities where required by law or reasonably necessary to protect the Services or users.
In addition, Digital Literacy reserves the right, acting in its reasonable judgment, to suspend, restrict, or terminate access to the Services where user activity may be detrimental to the integrity, security, availability, or lawful operation of the Services, or where such action is necessary to protect Digital Literacy, its users, or third parties.
Digital Literacy reserves the right to take technical or operational measures reasonably necessary to prevent misuse of the Services, protect platform security, prevent fraud, or ensure compliance with applicable laws and these Terms, including limiting functionality, restricting access, or suspending accounts.
Registration and License
If You are an iOS user, you must create an account through Apple Sign In.
Upon confirmation of your Account, Digital Literacy grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services strictly in accordance with these Terms. The Services are licensed, not sold, and no ownership rights are transferred to you.
This license is conditional upon your continued compliance with these Terms and may be revoked at any time in accordance with these Terms.
Duration
The Account will remain active unless cancelled by You or Us. The use of the Services is subject to payment of fees according to the selected subscription plan.
Subscription Renewal
Subscriptions purchased through Apple are governed by Apple subscription terms and are managed through your Apple account.
Cancellation
You may cancel through Apple subscription settings at any time. We may terminate accounts in case of breach, prolonged inactivity, or operational or legal necessity.
End of Services
Upon termination, access will be disabled and content may be deleted except for backups or legal retention obligations.
Security
Data is transmitted using encryption and security safeguards as described in the Privacy Policy.
Service Availability and Data Integrity
While we implement reasonable safeguards, you acknowledge that the Services may be unavailable, interrupted, delayed, or subject to data loss, corruption, or temporary unavailability due to technical failures, maintenance, or events beyond our control.
To the maximum extent permitted by law, Digital Literacy shall not be responsible for loss of user content, data corruption, or loss of messages arising from technical failures, system maintenance, force majeure events, or third-party service failures, provided that reasonable security and backup measures are maintained.
c. Fees and Charges
Fees are set in the App. Payment is processed through Apple. Digital Literacy does not store payment card data.
Payments are generally non-refundable except where required by law or Apple policy.
Prices may change with prior notice where required by law or platform rules.
Taxes may apply according to your jurisdiction and may be handled through Apple billing.
d. Applicable Provisions
Digital Literacy owns or licenses all intellectual property rights related to Services.
You may not use our trademarks, names, characters, or branding without consent.
You retain ownership of content you submit through the Services. However, to enable operation of the Services, you grant Digital Literacy a worldwide, irrevocable (for the duration necessary to provide the Services), royalty-free, non-exclusive, sublicensable license to store, process, reproduce, analyze, and use such content for the purpose of providing, maintaining, securing, and improving the Services, as described in the Privacy Policy.
AI-generated outputs are provided for informational purposes only and may not be accurate or suitable for your circumstances.
The Services are provided in a professional manner but otherwise on an “as is” basis to the maximum extent permitted by law.
If downloaded via Apple App Store, Apple may provide refunds where applicable, but Apple has no other warranty obligations. Apple is a third-party beneficiary of these Terms.
Digital Literacy is responsible for claims relating to the Service and intellectual property claims.
To the maximum extent permitted by law, Digital Literacy is not liable for indirect damages, loss of data, business interruption, misuse, unauthorized access, third party conduct, or changes to the Service.
Total liability is limited to fees paid in the previous 12 months except where prohibited by law.
You agree to indemnify Digital Literacy for misuse or violation of these Terms.
We may modify Services or Terms with reasonable notice.
We aim to provide support and respond to inquiries within reasonable timeframes.
Where permitted by law, digital service subscription withdrawal rights may not apply once service access has been provided.
IF YOU ARE THINKING ABOUT SUICIDE OR IF YOU ARE CONSIDERING HARMING YOURSELF OR OTHERS OR IF YOU FEEL ANY PERSON IS IN DANGER OR IF YOU HAVE A MEDICAL EMERGENCY, YOU MUST IMMEDIATELY CONTACT LOCAL EMERGENCY SERVICES. THE SERVICES ARE NOT DESIGNED FOR EMERGENCY OR CRISIS USE.
3. Miscellaneous
You agree to maintain confidentiality of the Services and technical documentation.
These Terms represent the full agreement between parties.
We may notify you via email or through the Service.
The Service may contain third-party links for informational purposes only.
These Terms are governed by Spanish law. Disputes will be handled by courts of the user domicile where applicable.
Access may be restricted where required by law.
If you downloaded the Services from Apple, Apple and its subsidiaries are third party beneficiaries of these Terms.
